SalesCrunchCRM Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is entered into between you ("Affiliate," "you," or "your") and SalesCrunchCRM ("Company," "we," "us," or "our"). By participating in the SalesCrunchCRM Affiliate Program (the "Program"), you agree to be bound by the terms and conditions of this Agreement.

1. Acceptance of Terms

By submitting an application to participate in the Program, you confirm that you have read, understood, and agree to the terms of this Agreement, our Terms and Conditions, and our Privacy Policy. If you do not agree with any part of this Agreement, you may not participate in the Program.

2. Eligibility

To be eligible for the Program, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract.
  • Maintain a valid email address and payment method (PayPal or Wise) capable of receiving commission payments in U.S. dollars.
  • Not be a current employee, contractor, or immediate family member of an employee or contractor of SalesCrunchCRM.
  • Comply with all applicable laws and regulations, including but not limited to the CAN-SPAM Act, GDPR, and FTC Endorsement Guides.

We reserve the right to approve or reject any Affiliate application at our sole discretion.

3. Commission Structure

3.1 Commission Rate

Affiliates will earn forty percent (40%) of the recurring subscription revenue paid by each Qualified Customer referred through the Affiliate's unique referral link, for a period of sixty (60) months from the date of the customer's initial paid subscription.

3.2 Qualified Customer

A "Qualified Customer" is defined as a new user who:

  • Clicks the Affiliate's unique referral link;
  • Signs up for a paid SalesCrunchCRM Basic Plan subscription within ninety (90) days of clicking the referral link;
  • Successfully pays at least one (1) full subscription invoice without refund or chargeback; and
  • Was not an existing SalesCrunchCRM customer at the time of referral.

3.3 Eligible Products

Commissions are payable only on the recurring monthly subscription fee for the SalesCrunchCRM Basic Plan (currently $25.00 USD per month).

3.4 Exclusions from Commission

The following are explicitly excluded from commission calculations:

  • AI usage credits, AI top-ups, or any pay-per-use AI features purchased by the customer.
  • One-time fees, setup fees, concierge service fees, or professional services.
  • Add-on upgrades, including but not limited to Email Pro, Email Power, MigrationCrunch licenses, or any other paid add-ons launched in the future.
  • Sales taxes, VAT, or any other taxes.
  • Stripe processing fees, payment-gateway fees, or chargeback fees.
  • Refunds, partial refunds, or credit-card chargebacks (any commission paid on a refunded transaction will be clawed back from future commissions).
  • Subscription periods in which the referred customer's payment failed, was disputed, or was reversed.

3.5 Commission Term

The 60-month commission window begins on the date the Qualified Customer's first paid invoice clears. If the referred customer cancels and resubscribes at a later date, the 60-month window does not reset.

4. Cookies and Attribution

Referral attribution is tracked via cookies placed in the prospective customer's browser when they click the Affiliate's referral link. The attribution window is ninety (90) days. If the prospective customer clears their cookies, uses a different device or browser, or clicks another Affiliate's referral link within the 90-day window, attribution may be reassigned. The Company's tracking records, as maintained by Rewardful (our affiliate tracking provider), are the final and binding source of attribution.

5. Payment Terms

5.1 Payment Schedule

Commissions are calculated monthly and paid on or around the fifteenth (15th) day of the month following a thirty (30)-day holding period to account for refunds and chargebacks. For example, commissions earned in January are paid on or around March 15.

5.2 Minimum Payout Threshold

The minimum payout threshold is fifty U.S. dollars ($50.00 USD). If your accrued commissions are below this threshold at the time of a scheduled payout, the balance will roll over to the next payment cycle.

5.3 Payment Method

Commissions are paid via PayPal or Wise. You are solely responsible for any fees charged by your payment provider and for any taxes owed on commission income.

5.4 Tax Reporting

Affiliates earning $600 USD or more in commissions in a calendar year (U.S. residents only) will be required to provide a completed Form W-9 prior to payment, and will receive a Form 1099 from SalesCrunchCRM. Non-U.S. Affiliates may be required to provide a Form W-8BEN. Failure to provide required tax documentation will result in commission withholding until documentation is received.

6. Promotional Restrictions

You agree that you will not engage in any of the following practices:

6.1 Prohibited Marketing Practices

  • Spam. You will not send unsolicited email, SMS, or any other unsolicited communications promoting SalesCrunchCRM. All promotional emails must comply with the CAN-SPAM Act, GDPR, and CASL.
  • Cookie stuffing, click fraud, or any other deceptive attribution manipulation.
  • Self-referrals. You may not refer yourself, your spouse, your business, or any account you control. The Company reserves the right to invalidate any commission earned on a self-referral.
  • Trademark bidding. You will not bid on Google Ads, Bing Ads, or any other paid search keyword that includes "SalesCrunchCRM," "SalesCrunch," "Sales Crunch CRM," or common misspellings thereof.
  • Domain registration. You will not register any domain name that includes "SalesCrunch," "SalesCrunchCRM," or confusingly similar variations.
  • False or misleading claims. You will not make any false, misleading, or unsubstantiated claims about SalesCrunchCRM, its features, its competitors, or its pricing.
  • Coupon or discount fraud. You will not promote unauthorized coupon codes or discounts.
  • Adult, illegal, or hateful content. You will not promote SalesCrunchCRM on any website or platform that hosts pornography, illegal activity, hate speech, harassment, or content that violates applicable law.
  • Impersonation. You will not represent yourself as an employee, agent, or authorized representative of SalesCrunchCRM.

6.2 FTC Disclosure

You must clearly disclose your affiliate relationship with SalesCrunchCRM in accordance with the U.S. Federal Trade Commission's Endorsement Guides whenever you promote our service, including but not limited to blog posts, social media, YouTube videos, podcasts, and email newsletters.

7. Trademark and Content License

7.1 License to Affiliates

Subject to this Agreement, SalesCrunchCRM grants you a limited, revocable, non-exclusive, non-transferable license to display the SalesCrunchCRM name, logo, and marketing materials made available to you through the Program, solely for the purpose of promoting SalesCrunchCRM to potential customers.

7.2 Restrictions

You may not modify the SalesCrunchCRM logo, alter our brand colors, or use our marks in any way that could confuse consumers, dilute our brand, or imply an endorsement, partnership, or relationship that does not exist beyond your role as an independent Affiliate.

7.3 Termination of License

Upon termination of this Agreement for any reason, the license granted in this section immediately terminates, and you must remove all SalesCrunchCRM trademarks, logos, and marketing materials from your websites, social media, and any other materials.

8. Term and Termination

8.1 Term

This Agreement begins on the date your Affiliate application is approved and continues until terminated as described in this Section.

8.2 Termination by Affiliate

You may terminate your participation in the Program at any time by notifying us in writing at affiliates@migrationcrunch.com or by disabling your account in the Rewardful affiliate portal.

8.3 Termination by SalesCrunchCRM

We may terminate or suspend your participation in the Program at any time, with or without cause, by providing notice to your registered email address. Termination is effective immediately upon notice.

8.4 Effect of Termination

Upon termination:

  • You will be paid any commissions accrued through the date of termination, subject to the 30-day holding period and minimum payout threshold, provided that the termination was not due to your breach of this Agreement.
  • If termination was due to fraud, cookie stuffing, spam, or any material breach of Section 6 ("Promotional Restrictions"), all unpaid commissions are forfeited and may be clawed back retroactively.
  • You will immediately cease all promotion of SalesCrunchCRM and remove our trademarks from your materials.
  • The recurring 60-month commission window for any previously referred customers will end as of the termination date. (Customers themselves are unaffected and continue their subscription independently.)

9. Relationship of the Parties

You are an independent contractor and not an employee, agent, joint venturer, or partner of SalesCrunchCRM. Nothing in this Agreement creates any partnership, employment relationship, or agency between the parties. You have no authority to bind SalesCrunchCRM to any obligation, and you may not make any representation or warranty on our behalf.

10. Confidentiality

You agree to maintain the confidentiality of any non-public information about SalesCrunchCRM that you learn through your participation in the Program, including but not limited to commission rates that may differ for other Affiliates, internal product roadmaps, customer data, sales figures, and pricing strategies. This obligation survives the termination of this Agreement.

11. Disclaimer of Warranties

The Program is provided "as is" and "as available." SalesCrunchCRM makes no warranty that the Program will be uninterrupted, error-free, or that any specific level of earnings will be achieved. Past earnings of other Affiliates are not a guarantee of your future earnings.

12. Limitation of Liability

To the maximum extent permitted by law, SalesCrunchCRM's total liability to you arising out of or relating to this Agreement is limited to the total commissions paid to you in the twelve (12) months preceding the event giving rise to liability. In no event will SalesCrunchCRM be liable for any indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless SalesCrunchCRM, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement; (b) your violation of any law or third-party right; (c) any content or claims you make about SalesCrunchCRM in your promotional activities; or (d) your negligent or willful misconduct.

14. Modifications to the Program

We may modify this Agreement, the commission rate, the commission term, the eligible products, or any other Program terms at any time. We will provide at least thirty (30) days' notice of material changes to your registered email address. Continued participation in the Program after the effective date of a modification constitutes acceptance of the modified terms.

Important: Any change to the commission rate or commission term will apply only to new customer referrals made after the change's effective date. Commissions on existing referred customers will continue at the rate in effect when that customer was referred.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Indiana, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to this Agreement will be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Indianapolis, Indiana. You waive any right to a jury trial and to participate in any class action, class arbitration, or representative proceeding.

16. Miscellaneous

16.1 Entire Agreement

This Agreement, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and SalesCrunchCRM with respect to the Program and supersedes any prior or contemporaneous agreements.

16.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any provision of this Agreement is not a waiver of our right to enforce that provision later.

16.4 Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement to any successor in connection with a merger, acquisition, or sale of all or substantially all of our assets.

16.5 Notices

Notices to SalesCrunchCRM must be sent to affiliates@migrationcrunch.com. Notices to you will be sent to your registered email address.
